1. Applicability

These General Terms and Conditions apply to all quotations, offers, agreements, and deliveries by ProtoForm Tech (KVK 99944561, BTW NL005419912B31), Boschstraat 43, 4811 GC Breda, The Netherlands, hereinafter referred to as "ProtoForm Tech."

By submitting a quote request, placing an order, or entering into any agreement with ProtoForm Tech, the client accepts these terms in full. The client's own general terms and conditions are expressly excluded unless ProtoForm Tech has accepted them in writing.

These terms apply exclusively to business-to-business (B2B) transactions. ProtoForm Tech does not supply to consumers.

2. Quotations and Orders

All quotations issued by ProtoForm Tech are non-binding and valid for 14 calendar days from the date of issue, unless stated otherwise in writing.

An agreement is formed when ProtoForm Tech confirms an order in writing (by email). ProtoForm Tech reserves the right to decline an order without stating reasons.

The client is responsible for the accuracy and completeness of all design files, specifications, and requirements submitted. ProtoForm Tech is not liable for errors resulting from incorrect or incomplete information provided by the client.

Design files submitted by the client (STL, STEP, DWG, 3MF, etc.) remain the intellectual property of the client. ProtoForm Tech will not share, reproduce, or use these files for purposes other than fulfilling the confirmed order.

3. Prices and Payment

All prices are in EUR and exclude VAT unless stated otherwise. VAT is applied at the applicable Dutch rate for domestic orders. EU B2B clients with a valid VAT number may qualify for reverse charge (BTW verlegd).

Payment is due within 14 calendar days of the invoice date, unless agreed otherwise in writing. ProtoForm Tech reserves the right to require partial or full prepayment for new clients or large orders.

In the event of late payment, the client is in default without further notice. Statutory commercial interest (wettelijke handelsrente, pursuant to Article 6:119a DCC) will apply automatically from the due date. ProtoForm Tech is entitled to charge reasonable extrajudicial collection costs.

ProtoForm Tech reserves the right to adjust prices in the event of significant changes in material costs, energy costs, or currency fluctuations. Such changes will be communicated before production commences.

4. Delivery and Lead Times

Stated lead times are indicative and begin from the moment of order confirmation and receipt of all required files and information. Lead times are not binding unless explicitly agreed in writing.

Delivery is made via DHL, DPD, or GLS to the address specified by the client. Risk transfers to the client upon handover to the carrier (EXW Breda, unless DDP is agreed). Shipping costs are specified in the quotation.

ProtoForm Tech is not liable for delays caused by the carrier, customs procedures, force majeure, or circumstances beyond its reasonable control.

The client must inspect delivered goods within 5 business days of receipt and report any visible defects or shortages in writing. Failure to do so constitutes acceptance of the delivery.

5. Retention of Title

All goods delivered by ProtoForm Tech remain the property of ProtoForm Tech until the client has fulfilled all payment obligations in full, including any interest and costs owed. The client may not pledge, encumber, or transfer ownership of unpaid goods to third parties.

6. Warranty and Complaints

ProtoForm Tech warrants that delivered goods conform to the agreed specifications at the time of delivery. This warranty does not cover defects resulting from incorrect use, storage, modification, or normal wear and tear.

Warranty claims must be submitted in writing within 14 calendar days of discovery of the defect, and no later than 3 months after delivery. ProtoForm Tech will, at its discretion, repair, replace, or credit the defective goods.

FDM 3D printing is a manufacturing process with inherent tolerances (standard: ±0.2mm). Dimensional variation within stated tolerances does not constitute a defect. Material properties (colour, surface finish, minor warping within tolerance) are characteristic of the process and do not give rise to warranty claims.

Custom-manufactured goods cannot be returned unless they are demonstrably non-conforming with the agreed specification.

7. Liability

ProtoForm Tech's liability for direct damages is limited to the invoice value of the order giving rise to the claim. ProtoForm Tech is never liable for indirect damages, including but not limited to loss of profit, production downtime, loss of data, or consequential losses.

The client is solely responsible for ensuring that the intended application of ordered parts is appropriate and safe. ProtoForm Tech does not certify parts for use in safety-critical, life-critical, or regulated applications (medical devices, aerospace, automotive safety systems) unless explicitly agreed in writing with supporting documentation.

ProtoForm Tech is not liable for damage resulting from use of parts in applications for which they were not designed or for which the material is unsuitable.

8. Intellectual Property

All designs, drawings, models, documentation, and other materials created by ProtoForm Tech (including Signature Series designs) remain the exclusive intellectual property of ProtoForm Tech. The client receives no rights to these materials beyond using the delivered physical goods.

Design files provided by the client are used solely for production purposes. ProtoForm Tech will not copy, reproduce, or share client designs without written consent.

If the client requests an NDA, ProtoForm Tech will provide one upon request before production commences.

9. Force Majeure

ProtoForm Tech is not liable for failure to perform its obligations if such failure is caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, government measures, material shortages, strikes, power outages, or failure of third-party suppliers. In such cases, ProtoForm Tech will notify the client as soon as possible and parties will consult on further steps.

10. Governing Law and Disputes

These terms and all agreements between ProtoForm Tech and the client are governed exclusively by Dutch law (Nederlands recht). The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Any disputes arising from or related to these terms or an agreement with ProtoForm Tech will be submitted exclusively to the competent court in the district of Zeeland-West-Brabant, Netherlands, unless mandatory law requires otherwise.
